Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Zorquill (the “Service”), a WhatsApp customer support and messaging platform operated by Ahid Technologies (“we”, “us”, or “our”). By creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. The Service

Zorquill is a software-as-a-service platform that lets a business connect its own WhatsApp Business number and manage customer conversations from a shared team inbox. The Service includes conversation assignment and work-queue tools, an AI assistant that can draft or send replies, a visual automation builder, WhatsApp Flows, message templates, broadcast campaigns, contact management and segmentation, and reporting. We may add, modify, or discontinue features of the Service at any time; we will give reasonable notice before removing a materially significant feature.

3. Eligibility & Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your workspace, including activity by agents and team members you invite. Notify us immediately of any unauthorised use.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right;
• Send spam, unsolicited messages, or any communication without the recipient’s required consent;
• Transmit malware, or attempt to gain unauthorised access to any system or data;
• Harass, abuse, defraud, or harm any person;
• Reverse engineer, resell, or misuse the Service except as expressly permitted.

We may suspend a workspace that we reasonably believe is engaged in any of the above.

5. WhatsApp & Meta Platform Terms

The Service is built on the WhatsApp Business Platform provided by Meta Platforms, Inc. (“Meta”). In addition to these Terms, you agree to comply with all applicable Meta and WhatsApp policies, including the WhatsApp Business Messaging Policy, the WhatsApp Business Solution Terms, and the Meta Platform Terms. In particular, you must:

• Obtain valid, prior opt-in consent from recipients before sending WhatsApp messages;
• Use approved message templates and respect messaging categories and rate limits;
• Honour opt-out requests promptly;
• Not use the platform for prohibited or restricted content or industries.

We may suspend or terminate messaging services that violate these requirements, and Meta may independently enforce its policies on your WhatsApp Business account. Zorquill is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc.

6. Subscriptions, Fees & Payment

The Service is offered on subscription plans billed in advance on a recurring basis. Plan prices, usage allowances, and included features are those shown on our pricing page at the time you subscribe. Subscriptions renew automatically until cancelled.

Our order process and payments are conducted and managed by our authorized reseller and Merchant of Record, who is the seller of record for your subscription and handles billing enquiries and returns for these transactions.

Meta charges separately. Meta levies its own conversation-based fees for messages sent through the WhatsApp Business Platform, billed by Meta directly to your WhatsApp Business account. Those charges are not included in your Zorquill subscription.

Billing, cancellation, and refunds are governed by our Refund Policy, which forms part of these Terms.

7. Your Data

You retain ownership of the contacts, conversations, and content you bring to or generate within the Service. We process that data to operate the Service on your behalf, as described in our Privacy Policy. Where your customers’ personal data is processed through your workspace, you are the controller of that data and we act as your processor.

8. Intellectual Property

All software, content, and materials that make up the Service, excluding your own data and third-party materials, are owned by or licensed to Ahid Technologies and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service as intended.

9. Third-Party Services

The Service relies on third-party providers including Meta, payment processors, hosting, and AI model providers. We are not responsible for the availability, content, or practices of third-party services, and your use of them is governed by their own terms.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, nor that AI-generated content will be accurate.

11. Limitation of Liability

To the maximum extent permitted by law, Ahid Technologies and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total aggregate liability for any claim shall not exceed the amounts you paid to us for the Service in the three (3) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Ahid Technologies from any claims, damages, liabilities, and expenses arising out of your use of the Service, your content, or your violation of these Terms or any applicable law or third-party right.

13. Termination

You may cancel your subscription at any time from your billing settings. We may suspend or terminate your access if you breach these Terms or if required to protect the Service, our users, or comply with law. Upon termination, your right to use the Service ceases immediately, and your data will be handled as described in our Data Deletion Instructions. Provisions that by their nature should survive termination will survive.

14. Governing Law

These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to its conflict-of-law principles. The courts of Pakistan shall have exclusive jurisdiction over any dispute arising from these Terms or the Service, subject to any mandatory consumer protections in your jurisdiction.

15. Changes to These Terms

We may revise these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
